August Debouzy has advised the Menix Group, one of the French leaders in orthopaedic prostheses and dental implants, on the sale of Serf SAS, the division representing a very large part of its orthopaedic business, to the American industrial group Stryker, listed on the New York Stock Exchange, which is one of the world’s leaders in the design, manufacture and distribution of orthopaedic equipment, with a revenue of over 20 billion dollars.

This significant transaction underlines the quality of SERF SAS’ innovative orthopaedic solutions, developed with the support of Menix and its partners including its founders, manager and a consortium of investors including Five Arrows, Keensight and Turenne Capital.

August Debouzy, under the coordination of **Etienne Mathey**, partner, and supported by a dedicated team including Maxime Legourd (senior associate) and Albane Shehabi (associate), provided assistance to the Menix Group for the transactional and corporate aspects of the deal. Also, Alexandra Berg (partner) handled the commercial and international contract matters, while Florence Chafiol (partner) managed the IP/IT and Data aspects. Philippe Lorentz (partner), along with Elie Betard (counsel), addressed the tax law aspects. Additionally, Virginie Devos (partner) and Clément Jottreau (senior associate) tackled the employment law aspects.

Paul Hastings(where Etienne Mathey worked until the end of 2023) also advised the Menix Group, with Moussa Mbodji (associate) and Amandine Guignard (associate) on the corporate/M&A aspects*,* as did Lamartine Conseil on the VDD aspects with Stéphane Rodriguez (partner).
